Who makes up a Seychelles Private Interest Foundation?

A Seychelles Private Interest Foundation consists of several key components: a Founder, Foundation Council, Protector and Beneficiaries.

What is a Founder?

The founder is the person or legal entity that establishes the foundation and may be a resident of any country. The founder determines the initial assets and purpose of the foundation, as well as the provisions for the administration and distribution of assets.

A minimum of one founder needs to be appointed, and they may be a member of the Foundation Council. Once the foundation council has two or more members the founder cannot be the only councilor.

In order to provide an additional layer of privacy and confidentiality, our company offers nominee services.

What is a Protector?

The role of the Protector is optional but can provide additional oversight and protection for the foundation. The Protector is appointed by the founder and may be a resident of any country. They can also hold a position on the foundation council.

The protector's primary duty is to ensure that the foundation is being managed in accordance with the founder's wishes. The protector has the power to supervise the actions of the foundation council and can intervene if there is any violation or deviation from the foundation's objectives.

Who can be appointed as the Beneficiary?

The beneficiaries are the individuals or entities that are designated to benefit from the assets and income of the foundation. Your children, spouse, family members or a legal entity can be the beneficiary.

If a founder is appointed as the beneficiary they cannot be the sole beneficiary.

Are there any accounting and Audit Requirements?

There are no specific audit requirements for a Private Interest Foundation. However, it is important to note that accounting records must be maintained for the foundation. The scans of these accounting records are required to be kept at the office of the registered agent in Seychelles.

How long does a Foundation take to establish?

It's important to note that foundation resolutions prepared by the registered agent need to be signed with an original signature and sent via courier to the registered agent in Seychelles in order to fully establish the foundation.

Once the signed documents have been received it takes approximately 5 to 6 business days to register the foundation, and an additional 2 to 3 business days for the preparation of the internal documents.

Once the documents are ready for shipment we provide scans via email, and thereafter the originals are sent via courier.
